Snap Audition – Organization Agreement

Effective: September 8, 2026

1. Introduction

This Organization Agreement ("Agreement") is between Blink Session LLC ("Snap Audition") and the organization ("Organization") that creates an account to conduct auditions and manage users.

By creating an Organization account, you agree to this Agreement, Snap Audition's Terms of Use, and Privacy Policy, incorporated by reference.

2. Account Creation & Responsibilities

To create an account, you must be an authorized representative, at least 18, and provide accurate information. You are responsible for all account activity and must notify Snap Audition immediately of unauthorized access.

The Organization agrees to:

  • Comply with all applicable laws, including COPPA, FERPA, GDPR, state privacy laws, and anti-spam laws
  • Obtain all necessary consents for data collection and processing
  • Not collect sensitive data (SSN, health, financial) unless legally permissible and necessary
  • Ensure data accuracy and respond to user inquiries
  • Not sell, rent, or share user data with third parties without consent

3. Data Collection & Use

The Organization may collect:

  • Personal Information: Name, email, phone (for communication/identification)
  • Audition Files: Video, audio, images, files (for evaluation)
  • Performance Data: Scores, feedback, rankings (for results/record-keeping)
  • Sensitive Data: Only if specifically required and legally authorized

The Organization agrees to retain data only as long as reasonably necessary and to coordinate with Snap Audition on deletion requests.

4. COPPA Compliance (Children Under 13)

COPPA Children's Online Privacy Protection Act

If collecting data from children under 13, the Organization is solely responsible for:

  • Obtaining verifiable parental consent before collection
  • Providing parents with notice of data practices and their rights
  • Responding to parental requests to review, delete, or withdraw consent

Snap Audition will notify the Organization within 5 business days of parental deletion requests and will not delete data without the Organization's written consent.

5. FERPA Compliance (Educational Institutions)

FERPA Family Educational Rights and Privacy Act

If the Organization is subject to FERPA, it designates Snap Audition as a "School Official" with a "legitimate educational interest". Snap Audition will:

  • Use education records only to provide the Service
  • Not re-disclose records without the Institution's consent
  • Return or destroy records upon termination (with certification)
  • Not delete records without the Institution's written consent

6. Data Deletion & Organization Consent

⚠️ CRITICAL Snap Audition shall not delete Customer Information (audition files, user data, scores) without the Organization's written consent, except as provided in Section 6(d).

a. Data Return

Upon termination, Snap Audition will provide a copy of all data within 30 days, retain data for 90 days, and delete only after the Organization authorizes.

b. User & Parental Deletion Requests

Snap Audition will notify the Organization within 5 business days of any individual user or parental deletion request and will not delete without the Organization's written consent.

c. Written Consent

"Written consent" means an email from an authorized representative (using the Organization's registered domain), a formal letter, or dashboard approval.

d. Automatic Deletion for COPPA/FERPA

COPPA / FERPA Notwithstanding the consent requirements above, Snap Audition may delete data without prior consent in these circumstances:
  • COPPA: Deletion 90 days after audition conclusion, or 12 months of inactivity, unless the Organization has a documented legitimate purpose
  • FERPA: Deletion per the Institution's documented retention schedule (default: 7 years from collection)
  • Privacy Policy: Technical logs purged after 90 days
  • Legal: To comply with law, court order, or government regulation
Advance Notice: Snap Audition will provide at least 30 days' notice before automatic deletion, allowing the Organization to request data return or object.

e. Deletion Log

Snap Audition maintains a log of all deletions (date, scope, basis, confirmation) for 3 years, available to the Organization upon request.

7. Sensitive Data

Snap Audition does not intentionally collect sensitive data (SSN, health, financial). If the Organization requests such data, it is solely responsible for legal compliance and obtaining consents. Snap Audition does not use, access, or analyze sensitive data except to store it on behalf of the Organization.

8. Communications & Marketing

The Organization may communicate with users for audition-related matters only. The Organization agrees not to send spam, engage in telemarketing, or promote unrelated products/services. All communications must comply with applicable anti-spam laws.

9. Payment & Billing

The Organization agrees to pay all fees as specified. Fees are non-refundable. Late payments may result in suspension. Snap Audition may change pricing with 30 days' notice.

10. Intellectual Property

All data submitted remains the sole property of the Organization. Snap Audition claims no ownership. The Organization grants a limited, non-exclusive license to store, transmit, and process data solely to provide the Service. Snap Audition shall not use data for any other purpose (advertising, marketing, product development, AI training).

11. Indemnification & Liability

The Organization indemnifies Snap Audition against all third-party claims arising from its use of the Service, breach of this Agreement, violation of law (including COPPA/FERPA), or handling of sensitive data.

Snap Audition is not liable for indirect, special, or consequential damages. Total liability shall not exceed fees paid in the preceding 6 months. Snap Audition is not liable for the accuracy or legality of user-submitted data.

12. Term & Termination

This Agreement begins upon account creation and continues until terminated. The Organization may terminate by closing its account or providing written notice. Snap Audition may terminate for breach, non-payment, legal violation, or security risk.

Upon termination, the Organization may request data return within 30 days. Snap Audition retains data for 90 days and deletes only after Organization authorizes. Outstanding fees remain due.

13. General Provisions

  • Governing Law: Colorado law, binding arbitration in Colorado Springs
  • Entire Agreement: This Agreement, Terms of Use, and Privacy Policy constitute the entire agreement
  • Amendments: Snap Audition may amend with 30 days' notice
  • Assignment: Organization may not assign without consent
  • Survival: Data ownership, confidentiality, indemnification, and liability provisions survive termination

14. Acknowledgment & Contact

By creating an Organization account, you acknowledge that you have read and understood this Agreement, have the authority to bind the Organization, and agree to comply with all terms, including COPPA and FERPA responsibilities where applicable.
